hi everyone,
okay here is my situation: i had an xp 32 bit home edition. I purchased
an UPGRADE copy for windows vista 32 bit home premium. Did an install,
had to activate by phone, everything went fine.
now, i have been forced to reinstall my windows vista 32 bit home
premium because of a bad new motherboard installation. i have lost my xp
disk. i reinstalled without entering the cd key so i could just get
through the installation. Now, my trial period is almost up. What should
i tell Microsoft when i call? (note reinstallation is not an option, and
activating automatically online did not work).

Unfortunately, reinstallation is your only option (other than finding your XP disk and reinstalling that first and then upgrading). An upgrade disk cannot be used for a clean installation unless you install twice (initially w/o the product, the second time with it, a well-known workaround). The product key will not activate on a clean install, there's no point to calling until you do the in-place upgrade (which, by the way, should preserve anything you've added since the initial clean install). In fact, a call may not be necessary at all once installed correctly.

Hello Sniper,
This tutorial below will show you how to legally do a clean install
with a Upgrade version of Vista so that you can still activate it. If
you still need to do a phone activation, then always be honest. If not,
you risk not being able to activate your Vista and possibly more.
