is no longer available from MS. I understand SP3 is the latest SP.Is this
the way to go at this point

Not if you plan on actually *upgrading*.
Clean install - sure - that will probably work for you.
Upgrade what you have already installed - nope.

interest in deleting W2K to install XP.

Then that OEM copy you linked to will be unable to do what you want.
OEM means a clean installation. You need a retail copy (Retail Upgrade or
Retail Full.)

The fact it has SP3 means very little in the end - as you could download SP3
and integrate it and most post-SP3 patches into any Windows XP Professional
CD you get. You need a retail copy if you don't plan on performing a clean
installation.

What you need is a Windows XP Professional Upgrade version not an OEM.

It looks like the Amazon product should do the trick at $184.00. I certainly
don't want to start over by installing XP (OEM) on my W2K machine, and
having W2K wiped out. It sounds like it might be hazardous.

That is (XP Pro SP3 OEM) for system builders. Read all the requirements for
it and you will see that it is NOT the version that the OP wants.

If you had read my initial response to the OP's post you would have read:
"You don't want this version. From the site you posted above "Requires the
use of Windows XP Pro SP3 Preinstallation Kit (not included) ." Do you have
the "Preinstallation Kit" already? This is for system builders."

Since the OP wanted to upgrade from 2000 to XP Pro SP3 the OP wanted a
retail version of XP Pro SP3 full install or a retail version of XP Pro SP3
upgrade. Neither is available on the market at this or any other time since
XP is no longer being sold by Microsoft to the general population (except in
certain circumstances.)
