The simplest way wold be to 'migrate' the WSUS2 from the old box to the new box, and then upgrade "in place" on the new box.
More complex ways depend on the specific migration scenario you have in mind. For example: [a] Old OS vs New OS. [b] Old database service vs New database service [c] Same configuration vs New configuration
Perhaps the most complex scenario will involve migration from Win2000/IIS5/MSDE/WSUS2 to Win2003SP1/IIS6/WID/WSUS3.
