If you upgrade in-place, and your WSUS2.0 server is [a] installed on Win2003SP1 and [b] using SQL2005SP1 as the database. The WSUS3.0 upgrade will use the very same database on the very same database server instance, and will make no changes other than those necessary to upgrade the database schema.
If the server is not running Win2003SP1, the upgrade will fail.
If the database server is not SQL2005SP1, one of two things will happen, and I've not tested this to see which it is: [a] The installer will complain that the SQL2005 server doesn't have SP1 installed, or [b] The installer will migrate the database from the SQL2005RTM installation to the Windows Internal Database.
Either way, the *best* preparation is to ensure that SP1 has been applied to the SQL2005 server.
