Upgrade Network and Incorporate New Server

I am looking to upgrade our network from Windows 2000SP4 to Window 2003.

I currently have 2 Win2K DCs that are fairly old/slow (p3 500 mhz 256 meg
ram) and I plan on decommissioning these servers as soon as possible.

I am purchasing a new server that will become the new DC (along with
existing Fileserver).

Question. What is the best way to approach this?

Should I upgrade my existing DCs/network (temporarily) and then install the
New Server onto the 2003 network and then decommission the old servers?

Or, can I install the new Server as a 2003 DC and upgrade the network at the
same time then decommission the old Win2k Servers without upgrading them?

Any other thoughts? We do have a Windows 2000/Exchange 2000 server on the
network also (not a dc).

FYI...After the network is upgraded it will be merged with another existing
Win2k3 network via VPN.

Any help is always appreciated.
